Terms of Service

By accessing or using the Necsaus platform ("Service") at necsaus.com or app.necsaus.com, you agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Service.

We reserve the right to update these Terms at any time. We will notify you of material changes by posting the revised Terms with an updated date. Continued use of the Service after changes become effective constitutes your acceptance of the revised Terms.

Necsaus is a content collaboration and publishing platform that provides:

• Frame-accurate video review and timestamped feedback tools
• 12-stage content creation workflow management (Idea → Publish)
• Multi-platform social media publishing, including YouTube via the YouTube Data API
• Team collaboration features for creators, editors, and managers
• File sharing, approval workflows, and scheduling tools

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where possible.

You must be at least 13 years old to use the Service. By registering, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms.

To access most features, you must create an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Notify us immediately of any unauthorised use of your account at sonuvairagi001@gmail.com
• Accept responsibility for all activities that occur under your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent, abusive, or harmful activity.

Necsaus integrates with the YouTube Data API v3 to allow you to upload and publish videos to your YouTube channel directly from the Service. By connecting your YouTube account, you additionally agree to and acknowledge:

• YouTube Terms of Service: Your use of YouTube features within Necsaus is subject to the YouTube Terms of Service.
• YouTube API Terms: Your use of YouTube API functionality within Necsaus is subject to the YouTube API Services Terms of Service.
• Google Privacy Policy: Data processed via Google services is also governed by Google's Privacy Policy.
• YouTube Community Guidelines: All content you upload to YouTube via Necsaus must comply with YouTube Community Guidelines.
• Content Policies: Content that violates YouTube's policies — including hate speech, harassment, misinformation, or copyright-infringing material — must not be uploaded through the Service.

Authorisation scope: When you connect your Google account, Necsaus requests only the minimum YouTube permissions (scopes) required to upload and manage content on your behalf. We do not access Gmail, Google Drive, Contacts, Calendar, or any other Google service outside these scopes.

Revoking access: You may revoke Necsaus's access to your Google / YouTube account at any time via your Google Account Permissions. Revoking access will prevent future uploads but will not remove content already published to YouTube.

Necsaus is not affiliated with, endorsed by, or sponsored by Google LLC or YouTube. We are an independent application that uses YouTube API Services under the terms granted by Google.

You retain full ownership of any content you upload, create, or publish through the Service ("User Content"). By submitting User Content, you grant Necsaus a limited, worldwide, non-exclusive, royalty-free licence to store, process, and transmit your User Content solely as necessary to provide the Service to you.

You represent and warrant that your User Content:

• Does not infringe any third-party intellectual property, privacy, or publicity rights
• Does not contain illegal, harmful, abusive, defamatory, obscene, or hateful material
• Complies with the terms, policies, and community guidelines of any connected platforms (including YouTube)
• Does not contain malware, viruses, or other harmful code
• Does not violate any applicable copyright or trademark law

We are not responsible for User Content published to third-party platforms. Necsaus acts solely as a technical conduit; responsibility for published content rests entirely with you.

When you connect third-party accounts (e.g., YouTube, Instagram, TikTok), you authorise Necsaus to access and use those accounts solely to provide the features you request. You remain solely responsible for:

• Compliance with each platform's terms of service and community guidelines
• The content you choose to publish via Necsaus
• Any consequences arising from content that violates platform policies

We are not affiliated with, endorsed by, or responsible for any third-party social media platform.

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law or regulation
• Upload or publish content that infringes intellectual property rights or violates platform policies
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, decompile, or disassemble any part of the Service
• Use automated tools (bots, scrapers, crawlers) to access the Service without our written consent
• Interfere with or disrupt the integrity, performance, or availability of the Service
• Impersonate any person or entity, or misrepresent your affiliation with any person or entity
• Transmit spam, unsolicited communications, or malicious content
• Circumvent or attempt to circumvent any content filters, access controls, or security measures
• Use the YouTube API features to upload content in bulk, spam channels, or violate YouTube's spam and deceptive practices policies

The Service and its original content (excluding User Content), features, design, and functionality are and will remain the exclusive property of Necsaus and its licensors. Our name, logo, and service marks may not be used without our prior written permission.

YouTube™ is a trademark of Google LLC. Necsaus is not endorsed by or affiliated with Google LLC.

Necsaus may offer free trials and paid subscription plans. By subscribing:

• You authorise us to charge your payment method on a recurring basis
• Subscription fees are stated at the time of purchase and may change with 30 days' notice
• All fees are non-refundable except where required by applicable law
• You may cancel your subscription at any time; cancellation takes effect at the end of the current billing period

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS.

NECSAUS MAKES NO WARRANTIES REGARDING THE AVAILABILITY, RELIABILITY, OR ACCURACY OF THIRD-PARTY API SERVICES, INCLUDING THE YOUTUBE DATA API. SERVICE INTERRUPTIONS BY GOOGLE OR YOUTUBE ARE OUTSIDE OUR CONTROL.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NECSAUS AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, DATA, GOODWILL, OR CONTENT — ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR ANY THIRD-PARTY API, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS PAID BY YOU TO NECSAUS IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) USD $50.

You agree to indemnify, defend, and hold harmless Necsaus and its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or in connection with: (a) your use of the Service; (b) your User Content; (c) your violation of these Terms; or (d) your violation of any third-party rights, including YouTube's Terms of Service or Community Guidelines.

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any other reason with reasonable notice where possible. You may terminate your account at any time by contacting us. Upon termination:

• Your right to use the Service will immediately cease
• We will delete your account data in accordance with our Privacy Policy
• OAuth tokens for connected Google / YouTube accounts will be revoked

Sections 6, 9, 11, 12, 13, and 15 shall survive any termination of these Terms.

These Terms shall be governed by and construed in accordance with applicable laws. Any disputes arising under or in connection with these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes may be submitted to binding arbitration or a court of competent jurisdiction.
